DHA Board Nomination Process 2025
Background information
As an Incorporated Society our Constitution provides for six Board members to be elected by the DHA membership. Elected Board members hold their position for a two-year term that ends at the Annual General Meeting (AGM) in which their second year falls due.
There is a rotation process in place (to ensure governance continuity) that has three elected positions becoming available each year. The Board members whose two-year terms are ending at the 2026 AGM are entitled to put themselves forward for the current nomination and voting process.
DHA Board membership is a voluntary role, and all Board members contribute to the success of the organisation. They represent the membership and work in the interests of members, stakeholders, and the health sector.
The DHA, being a member-led organisation, encourages all members when making a nomination or voting to consider the diversity (size, geography, ethnicity, age, gender) of our Board members. This is important to strengthen both our thinking and decision making.

Voting Process
The voting process commences on the 11 February 2025 and closes at 5pm on the 24 February 2025.
The key contacts of DHA member entities (as defined in the Constitution and Rules) are entitled to cast their vote to select no more than three of the nominees in preferential order. An online voting platform will be established for delegates to cast their vote.
The three successful nominees will be named at the AGM to be held on the 26 February 2025, at Spark Health, 50 Albert Street, Auckland.
Eligibility Criteria
Nominees for the DHA Board election process must meet the following criteria:
- Must be an employee or agent of a DHA member entity as described in the Constitution and Rules. A copy of the Constitution and Rules can be viewed and downloaded here.
- The nominee must be authorised to stand for election by the member entity they are employed by or are agents of.
- The member entity must be a fully paid financial member as at the time of the voting close-off date, being 24 February 2025 at 5pm.
- A copy of the DHA Board Diversity Policy can be viewed and downloaded here.
- Nominees must submit a max 300-word biography and headshot with their nomination.
Board Election Schedule (2025)
- 19 December: Nominations open.
- 10 February at 5pm: Deadline for nominations to be received.
- 11 February at 9am: Voting commences.
- 24 February at 5pm: Voting closes.
- 24 to 26 February: Tiebreaker vote if applicable.
